1. Agreement to Terms

By accessing or using the ElmiViseAI website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and customers of ElmiViseAI.

2. Description of Services

ElmiViseAI provides the following services:

• AI Chatbot Platform — An intelligent chatbot with built-in automated booking and analytics dashboard, available on a subscription basis.
• AI Voice Agents — AI-powered voice call handling (currently under development and not yet available).
• Web Development — Custom website design and development services, quoted on a per-project basis.

3. Account Registration

To access certain features of our chatbot platform, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorised use

4. Subscriptions and Payments

Our AI Chatbot Platform is offered as a single all-inclusive plan:

• Business — £149 per month (includes unlimited conversations, multi-channel support, analytics, and all features)

Web development projects are quoted individually based on scope and requirements. All payments are processed securely through Stripe. Subscription fees are billed monthly in advance. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

We reserve the right to change our pricing with 30 days' written notice to existing subscribers.

5. Free Trial

We offer a 14-day free trial for our chatbot platform. No credit card is required to start a trial. At the end of the trial period, your account will be paused unless you subscribe to a paid plan. We reserve the right to modify or discontinue the free trial offer at any time.

6. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit harmful, offensive, or misleading content
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the integrity of our services
• Use automated means to scrape or extract data from our platform
• Resell or redistribute our services without written authorisation

7. Intellectual Property

All content, features, and functionality of the ElmiViseAI platform — including but not limited to software, text, graphics, logos, and design — are the exclusive property of ElmiViseAI and are protected by copyright, trademark, and other intellectual property laws.

For web development projects, upon full payment, you will own the custom code and design assets created specifically for your project. ElmiViseAI retains the right to use general techniques, methodologies, and non-proprietary components in future projects.

8. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in that policy. We are committed to protecting your data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

9. Service Availability

We strive to maintain 99.9% uptime for our chatbot platform. However, we do not guarantee uninterrupted access and may occasionally need to perform maintenance or updates. We will provide reasonable notice of planned downtime where possible. We are not liable for any loss or damage arising from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, ElmiViseAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services. Our total liability in any matter arising out of or related to these terms shall not exceed the amount you have paid to ElmiViseAI in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ElmiViseAI, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease. You may terminate your account at any time by contacting us. All provisions of these terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or a prominent notice on our website. Your continued use of our services after changes are posted constitutes your acceptance of the revised terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
